Terms of Service & Trade Agreements

1. Introduction & Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you or your corporate enterprise ("Client," "you") and CINA SOURCING ("Company," "we," "us"), operating the web portal https://cinasourcing.com.

By engaging our services, requesting a quotation, booking factory inspections, or authorizing procurement transactions from Chinese wholesale platforms (including 1688.com and Taobao), you confirm that you have read, understood, and agreed to these Terms in full.

2. Scope of Agency & Operational Role

CINA SOURCING operates as an independent procurement agency and supply chain facilitator headquartered in Shenzhen, China. Our core operational scope covers:

• Direct manufacturer identification, factory background auditing, and commercial price negotiation.
• Domestic Chinese payment processing and local currency settlement via mainland RMB/Alipay channels.
• Consolidation warehousing, unboxing, repacking, and defect quarantine in Shenzhen.
• Amazon FBA compliance prep, FNSKU thermal labeling, barcode scanning, and polybagging.
• Coordination of export customs declarations and international freight forwarding via our specialized logistics division, Cina Logistics (cinalogistics.com).

Unless explicitly outlined under a direct contract manufacturing agreement, CINA SOURCING acts as the Client's representative in managing relationships with independent Chinese factories and logistics carriers.

3. Quotations, Pricing & Payment Settlements

• Quotations & Landed Costs: Cost analyses provided for products, mold tooling, packaging, and shipping are derived from prevailing supplier rates, material costs, and currency conversion parameters. Unless stated otherwise in writing, quotations remain valid for fourteen (14) days.
• Invoicing & Currencies: Client billings are issued in USD, EUR, GBP, or other convertible foreign currencies. Accepted payment channels include international wire transfer (T/T), Wise, Payoneer, and approved secure payment processors.
• Domestic Settlement: CINA SOURCING receives approved international client funds and executes immediate domestic RMB settlements with factories through licensed commercial enterprise accounts.
• Production Deposits: Custom OEM manufacturing orders generally require an initial production deposit (standardly 30% to 50%) prior to mold creation or material procurement, with final balance payments due upon successful pre-shipment quality inspection.

4. Quality Control, Inspections & Defect Resolutions

• Inspection Protocols: Inspections are conducted in accordance with internationally recognized ISO 2859-1 (AQL 2.5 / 4.0) sampling criteria or an agreed-upon 100% piece-by-piece testing protocol executed at our Shenzhen warehouse.
• Defect Remediation: If manufactured goods fail agreed specifications, dimensions, or cosmetic standards during our Shenzhen receiving audit, CINA SOURCING coordinates immediate factory rework, parts replacement, or return for refund within China before international shipping.
• Post-Clearance Boundaries: Following client sign-off on inspection reports and export release from China, CINA SOURCING is not liable for internal latent material flaws undetectable through non-destructive visual and mechanical testing, or damage sustained due to post-delivery handling at destination facilities.

5. Amazon FBA Prep, Barcoding & Marketplace Compliance

• The Client is responsible for supplying accurate, active FNSKU barcode files, product listings, and carton layout guidelines generated through Amazon Seller Central or relevant marketplace dashboards.
• CINA SOURCING applies direct thermal barcode labels, suffocation warning notices, and carton identification marks that pass 100% optical scanner audits prior to palletization.
• We are not responsible for inventory suspensions or receiving holds resulting from marketplace listing gatekeeping, product safety classification reviews, or seller account performance issues at the destination fulfillment center.

6. Shipping, DDP Logistics & Customs Clearances

• Cross-border cargo forwarding, customs clearances, and final-mile deliveries are executed through our integrated logistics arm, Cina Logistics (cinalogistics.com), and contracted major tier-1 carriers (FedEx, DHL, UPS, Matson, COSCO).
• Delivered Duty Paid (DDP) Terms: DDP freight quotes cover domestic China trucking, export customs brokerage, international sea/air freight, destination customs clearance, and standard import tariffs. DDP rates do not cover regulatory customs holds, punitive anti-dumping tariffs stemming from inaccurate HS code designations requested by the Client, or destination demurrage caused by consignee delivery delays.
• Marine & Transit Cargo Insurance: While commercial carriers operate under standard airway bill and bill of lading liability caps, we strongly advise clients to purchase comprehensive third-party marine cargo insurance for high-value merchandise.

7. Intellectual Property & NNN Protections

The Client retains all right, title, and interest in and to their trademarks, design copyrights, engineering patents, and CAD blueprints shared with CINA SOURCING. We apply standard Non-Disclosure, Non-Use, and Non-Circumvention (NNN) practices and enforce formal commercial non-disclosure contracts with Chinese manufacturing partners to protect against mold copying or intellectual property infringement.

8. Consolidation Warehousing & Storage Terms

CINA SOURCING provides thirty (30) consecutive days of complimentary warehousing at our Shenzhen consolidation hub to allow clients to bundle parcels from multiple factories. Inventory remaining unclaimed or staged beyond the 30-day period without written approval will incur standard monthly pallet storage fees ($1.00 USD per CBM per day). Cargo unclaimed beyond ninety (90) days may be liquidated or disposed of to recover unpaid storage liabilities.

9. Limitation of Liability

To the fullest extent permitted by applicable trade law, CINA SOURCING shall not be liable for any indirect, consequential, punitive, or special damages, including lost sales volume, listing rank degradation, or business interruptions. Under all circumstances, the aggregate financial liability of CINA SOURCING arising out of any specific purchase order or inspection engagement shall not exceed the total agency commission or service fees paid by the Client to CINA SOURCING for that specific transaction.

10. Governing Law & Dispute Resolution

These Terms shall be interpreted and governed by the commercial trade laws of the People's Republic of China. Both parties agree to resolve any contractual disagreements or commercial disputes through amicable, good-faith consultation. If a dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to the Shenzhen Court of International Arbitration (SCIA) for final arbitration in accordance with its existing arbitration rules.
